Terms of Service – PayAudit
Version: 2026-10-10
1. Who we are
PayAudit (the “Service”) is provided by PayAudit (“we”, “us”). Contact: info@payaudit.eu.
2. What these Terms cover
These Terms govern your use of the PayAudit website, the free tools available on it without an account (for example the pay gap calculator, the “am I in scope / when is my first report” checker and the art. 7 deadline helper), the waitlist and, together with the Beta Terms, the PayAudit web application.
3. No fees, nothing for sale
The Service is provided free of charge. Prices shown on the pricing page are planned prices, not offers: no plan can be bought, no order or pre-order is accepted and no payment details are collected. Clicking “Choose plan” only records your interest.
4. Who may use the Service
The Service is intended for businesses and professionals acting for an organisation (for example employers, HR and payroll teams, labour consultants, workers’ representatives invited by an employer). You must be at least 18 and, if you act for an organisation, authorised to accept these Terms on its behalf. [TO CONFIRM: exclusion of consumers]
5. Your account
Sign-in is passwordless (email link or GitHub/Google). Keep access to your email account secure: anyone who can read it can sign in as you. Tell us without delay if you suspect unauthorised access. Workspace owners and admins decide who is invited and with which role, and are responsible for removing people who should no longer have access.
6. Your data and payroll files
- Payroll files you load in the free tools or in the app are processed in your browser; individual payroll records are not sent to our servers (see the Privacy Policy, section 2).
- You remain responsible for having a lawful basis to process your workers’ data, for informing them, and for the accuracy and completeness of the data you load.
- For data stored in your workspace (job architecture, aggregate reports, joint assessments, art. 7 request log) you are the controller and we are your processor under the data processing terms in the Beta Terms.
- You can export your workspace data [TO CONFIRM: export available at launch].
7. Not legal advice
PayAudit helps you apply Directive (EU) 2023/970 and its national transpositions (for example Italian Legislative Decree 96/2026). Every result shows the legal reference it relies on. However:
- results are computational aids, not legal, tax or employment advice; they do not replace a lawyer or labour consultant;
- national rules differ, are still being adopted and may change; some points of the Directive are open to interpretation, and where they are we say that a result is “likely” and show the method chosen;
- formats for submitting reports to national authorities may not yet be published;
- you are responsible for your reports, justifications, joint assessments and replies to workers.
8. Acceptable use
Do not: break the law or others’ rights; upload data you have no right to process; try to access other workspaces or bypass security, rate limits or plan limits; reverse engineer the Service except where the law allows it; use the Service to send unsolicited messages; overload the Service or use automated means beyond the published API [TO CONFIRM when the API is available].
9. Intellectual property
The Service, its software, texts and brand belong to us. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. You keep all rights in your data. If you send us feedback or suggestions, we may use them freely, without obligation to you.
10. Free tools
Free tools are provided “as is”, without an account, for information. Results depend on the data you enter and on the method shown on the page.
11. Third-party services
Sign-in with GitHub or Google, and the providers we rely on (see the Privacy Policy), are governed by their own terms. We are not responsible for their availability.
12. Availability, changes and termination
We may change, suspend or discontinue all or part of the Service, preferably with notice by email [TO CONFIRM: notice period]. You may stop using the Service and delete your account at any time. We may suspend or close accounts that breach these Terms.
13. Warranties and liability
To the extent permitted by applicable law, the Service is provided “as is” and “as available”, without warranties of any kind, including fitness for a particular purpose and legal compliance of your reports. To the extent permitted by applicable law, we are not liable for indirect or consequential loss, loss of profits or data, fines, or claims by your workers. Nothing in these Terms limits liability that cannot be limited under applicable law (for example for wilful misconduct or gross negligence) [TO CONFIRM].
14. Assignment
We may assign these Terms, and transfer the Service, to a successor in connection with a sale of the product or its assets. We will inform you by email. You may not assign these Terms without our consent.
15. Governing law and jurisdiction
These Terms are governed by Italian law. The courts of [TO CONFIRM] have exclusive jurisdiction, without prejudice to mandatory rules of your country.
16. Changes to these Terms
We will publish changes here with a new version date and, for material changes, inform registered users by email before they apply.
